Terms and Conditions of Sale

This is an English translation provided for informational purposes. The French version of these Terms and Conditions is the legally binding version in the event of any dispute.

Preamble

These Terms and Conditions of Sale ("T&Cs") govern all rights and obligations of the parties in connection with all transactions concluded for consideration on the site https://www.shopaliz.com/

The Shopaliz website is the exclusive property of the company SHOPALIZ.

By subscribing to any product and/or service presented on the Shopaliz website, Customers declare that they unconditionally accept these Terms and Conditions of Sale.

These Terms and Conditions constitute the entirety of the rights and obligations of the parties within the framework of their contractual relationship.

Definitions

Shopaliz — the trade name and business name of the company SHOPALIZ for the purposes hereof.

Customer — any natural or legal person who subscribes to a Service offer on the Shopaliz site. The term "Customer" encompasses both the Consumer Customer and the Professional Customer, except where these Terms expressly distinguish between the two.

Consumer Customer — any natural person acting for purposes that do not fall within the scope of their commercial, industrial, craft, liberal or agricultural activity.

Professional Customer — any natural or legal person, public or private, acting for purposes within the scope of their commercial, industrial, craft, liberal or agricultural activity.

Shopify — the solution marketed by Shopify, whose website is https://www.shopify.com/

Article 1: Subject of the contract

The Customer acknowledges having read these Terms and Conditions of Sale before any use and/or subscription to any products and/or services on the Shopaliz site.

Consequently, any use and/or subscription to any products and/or services on the Shopaliz site entails full and complete acceptance of these Terms and Conditions of Sale and any particular conditions applicable to each service.

Any modification to current legislation or regulations, or any decision by a competent court that annuls one or more provisions of these T&Cs, shall not affect their overall validity.

Provisions applicable according to Customer type

These Terms apply to all Customers. However, certain provisions are reserved for Consumer Customers only, in accordance with mandatory consumer law. Unless otherwise stated, the articles of these Terms apply equally to Consumer Customers and Professional Customers.

Provisions that apply exclusively to Consumer Customers relate to: the right of withdrawal; the legal guarantee of conformity of digital content and services; consumer mediation; the online dispute resolution platform.

Article 2: The Shopaliz Service

2.1 Nature of the service

Shopaliz is an online platform enabling e-merchants with a Shopify store to create, customise and publish a native mobile application (iOS and Android) connected to their Shopify store, with no technical skills required.

The Service includes: creation and customisation of the mobile app via an online editor, real-time synchronisation with the Customer's Shopify store (products, stock, orders), unlimited push notifications (depending on the plan subscribed), publication and management of the app on Google Play Store and Apple App Store, and email customer support.

2.2 Plans and pricing

Shopaliz offers three subscription plans (prices excluding VAT):

Starter Plan: €59/month (or €49/month on annual commitment). Includes: 7 home screen components, unlimited push notifications, Shopify integration, email support within 24–48h.

Silver Plan: €79/month (or €65/month on annual commitment). Includes: 20 home screen components, unlimited and scheduled push notifications, Shopify integration, promo/discount code page, email support within 24–48h.

Gold Plan: €199/month (or €165/month on annual commitment). Includes: unlimited home screen components, unlimited and scheduled push notifications, Shopify integration, promo/discount code page, Smile loyalty programme, email support within 24–48h.

All plans include publication on Google Play Store and Apple App Store. Annual store fees (€25 for Google Play, €99 for Apple App Store) are the Customer's responsibility, unless otherwise agreed with Shopaliz.

2.3 Accepted payment methods

Payment for paid subscriptions is made by credit card via the Stripe secure payment platform. Card data is processed directly by Stripe (PCI DSS Level 1 certified). Shopaliz never has access to full card numbers and does not store them.

2.4 Free trial

Each plan includes a 30-day free trial. The service is free until the app is actually published on the stores. At the end of the trial, in the absence of cancellation by the Customer, the paid subscription corresponding to the chosen plan will be automatically activated and billed.

2.5 Service access timeframe

Access to the Shopaliz platform is immediate after account creation. The average time to create and publish a mobile app is 2 to 3 weeks, including the validation process by the stores (Google Play and Apple App Store), whose timelines Shopaliz does not control.

2.6 Compatibility and technical requirements

The Shopaliz Service requires that the Customer has an active store on the Shopify platform (https://www.shopify.com/). Shopaliz is not currently compatible with other e-commerce platforms.

Article 3: Creating a Shopaliz account

The Customer must create a Shopaliz account to use all or part of the Shopaliz Service. The username and password are for personal use only and must remain confidential. The Customer is responsible for all use (including any unauthorised use) of their username and password.

If the Customer creates an account on behalf of a company or organisation, the terms "Customer" and "their" apply to both the natural person who created the account and the entity they represent, who are jointly bound by these Terms.

Article 4: Payments and cancellation

4.1 Paid subscriptions

The Customer may purchase a paid subscription directly from Shopaliz by paying subscription fees in advance monthly or on any other recurring interval communicated before purchase.

4.2 Price changes

Shopaliz may periodically change the price of paid subscriptions with at least 30 days' advance notice by email or in-app notification. If the Customer does not accept a price change, they may cancel their subscription before the change takes effect.

4.3 Billing and cancellation

Unless otherwise stated, paid subscriptions continue indefinitely until cancelled. The Customer may cancel their paid subscription at any time by logging into their Shopaliz account and following the instructions on their Account page. Cancellation takes effect at the end of the current billing period. Shopaliz does not issue refunds or credits for partial subscription periods, except as expressly provided herein.

4.4 Right of withdrawal

Consumer Customers have a 14-day right of withdrawal from the date of subscription. To exercise this right, the Customer must send an unambiguous email to support@shopaliz.fr or a withdrawal letter by registered post to: ZA La Capelette, Impasse des Micocouliers, 13520 Maussane-les-Alpilles, France.

If the Customer requests immediate access to the Service before the end of the withdrawal period, they acknowledge that they lose their right of withdrawal from the start of the Service. A full refund will be issued within 14 days of receiving the withdrawal notice.

Article 5: Content and intellectual property rights

5.1 Shopaliz intellectual property

All elements of the Shopaliz site and platform — including software, source code, algorithms, interfaces, databases, texts, visuals, graphics, photographs, videos, sounds, logos, the "Shopaliz" trademark and any other distinctive sign — are the exclusive property of SHOPALIZ or its licensors and are protected by applicable intellectual property law.

Subscribing to a Shopaliz plan grants the Customer a personal, non-exclusive, non-transferable right to use the platform and Service for the duration of the subscription and solely for the purposes provided herein.

5.2 Mobile apps generated for the Customer

Mobile apps created for the Customer using the Shopaliz platform are generated from Shopaliz's proprietary technology. The Customer has the right to operate the generated mobile app for the purposes of their business for the duration of their subscription. This right terminates upon cancellation or expiry of the subscription for any reason. The commercial content integrated by the Customer (product pages, images, descriptive text, brand logo) remains the Customer's property.

Article 6: Customer support

For any question regarding customer support, payment and the Shopaliz Service, the Customer should use the Shopaliz Connect Support section of the website.

Article 7: Statutory guarantee of conformity

Under European Union law, Consumer Customers benefit from a statutory guarantee of conformity for digital content and services, in accordance with applicable legal provisions. Shopaliz will bring the digital content or service into conformity without undue delay and at no cost to the Customer upon their request.

Article 8: Problems and disputes

Shopaliz commits to providing the Service with diligence and in accordance with industry standards, within a best-efforts obligation. Shopaliz shall not be liable for damages resulting from the Customer's use of the Service or inability to access it, unless proven misconduct by Shopaliz.

For Professional Customers, Shopaliz's total liability for all causes combined is limited to amounts actually paid by the Customer for their subscription during the 12 months prior to the event giving rise to the damage. These liability limitations do not apply to Consumer Customers.

Article 9: Personal data processing

Shopaliz commits to processing Customers' personal data for professional purposes and for the missions provided for in the contract. Article 10: Force majeure

Neither party shall be held liable for failure to perform or delay in performing any of its obligations under these Terms if such failure or delay results from a force majeure event within the meaning of Article 1218 of the French Civil Code — an event beyond the party's control, which could not reasonably have been foreseen at the time of contract conclusion and whose effects cannot be avoided by appropriate measures.

If the event giving rise to force majeure results in a temporary impediment, the performance of the affected party's obligations is suspended for the duration of the event. If the impediment lasts more than 60 consecutive days, either party may terminate the contract by written notice, and Shopaliz will refund the Customer the pro-rata portion of the subscription period already paid and not consumed.

Article 11: Applicable law and language

These Terms and Conditions are governed by French law and drafted in French. In the event of a dispute, only the French text shall prevail.

For Consumer Customers, any dispute shall be settled before the courts determined by applicable procedural rules, with the option to seize the court of the Customer's domicile or of Shopaliz's registered office. For Professional Customers, any dispute shall be submitted to the exclusive jurisdiction of the Tarascon Commercial Court.

Article 12: Consumer mediation

After exhausting internal recourse, Consumer Customers may refer a dispute to a consumer mediator free of charge. The designated mediator is:

Article 13: About these Terms

If one or more provisions of these Terms prove to be invalid, illegal or unenforceable, the remaining provisions shall remain fully applicable. Shopaliz may amend these Terms from time to time and will inform the Customer at least one month before any significant changes take effect. If the Customer does not accept the changes, they may cancel their subscription before they take effect.
